    Terms of Service

    1. Acceptance of terms

    By accessing or using nozle (the "Service") you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that entity.

    2. The Service

    nozle provides metering, pricing, billing, entitlements, and margin intelligence software. We may modify the Service at any time provided we do not materially reduce its core functionality during your subscription term.

    3. Customer data

    You retain all rights to data you submit to the Service. We process it solely to provide the Service, in accordance with our Data Processing Addendum and Privacy Policy.

    4. Acceptable use

    You agree not to (a) reverse engineer the Service, (b) use it to send unlawful content, (c) attempt to circumvent rate limits, or (d) resell the Service without a written reseller agreement.

    5. Fees and payment

    Fees are set out in your Order Form. Usage-based fees are billed monthly in arrears. All fees are non-refundable except as required by law or expressly stated.

    6. Term and termination

    These Terms remain in effect while you use the Service. Either party may terminate for material breach uncured after 30 days' notice. On termination we will return or delete your data within 30 days.

    7. Warranties and disclaimers

    We warrant the Service will perform materially in accordance with our published documentation. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

    8. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

    9. Indemnification

    We will defend you against third-party claims that the Service infringes a valid IP right, subject to standard carve-outs. You will defend us against claims arising from your data or your misuse of the Service.

    10. Governing law

    These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Disputes will be resolved in the state and federal courts located in Wilmington, Delaware.

    11. Changes

    We may update these Terms with 30 days' notice. Material adverse changes give you the right to terminate without penalty during the notice period.
